Article 1 — Purpose and scope
These General Terms of Sale (hereinafter the "Terms") govern the distance sale, by OSA, of subscriptions and services marketed under the name LawgiSkill (hereinafter the "Services") to professionals (the "Customer").
The Services consist of (i) the provision, by subscription, of bundles of structured legal content called "skills" and (ii) a service giving access to public legal databases through a proprietary technical connector (hereinafter the "Connector"). The Connector is marketed either as part of a skills pack (article 3.2) or as point-based plans (article 3.2/1).
The Terms, together with the purchase order or the online order validated by the Customer, form the entire contract (hereinafter the "Contract"). For the free allowance of article 3.5, the Contract is formed under the conditions of article 3.3. The Terms apply to the exclusion of any purchasing conditions of the Customer, unless OSA expressly agrees otherwise in writing.
The Terms are made available to the Customer before the order is validated or the account is activated, in a form that the Customer can consult and store. By validating the order or activating the account, the Customer accepts the Terms.
Article 2 — Target customers
The Services are intended exclusively for professionals (lawyers, in-house lawyers, DPOs, compliance officers, accountants, advisers, publishing platforms, public institutions). Any order placed by a consumer is deemed null and void and is refunded. The Customer warrants that it acts in the course of its professional activity.
The free allowance of article 3.5 is also reserved to professionals. The Customer declares that it acts in the course of its professional activity when activating its account and when placing each order.
Article 3 — Offer — Formation of the contract
3.1 Catalogue
The catalogue of Services, the technical characteristics, the prices and the subscription terms are published on https://lawgi.tech and may be changed at any time, without prejudice to Contracts in progress (article 6.1). The price, scope and conditions of the point-based plans are published on a versioned and dated pricing page (hereinafter the "Pricing Page", https://lawgi.tech/legal/tarifs/). Each version of the Pricing Page remains available at a dated address shown on the page.
3.2 Skills packs
Skills packs are marketed as volume packs (Starter, Pro, Full Access) and as specialised professional packs (including the Lawyer Pack). Each pack includes (i) a defined number of skills chosen from the catalogue, (ii) the Connector, without point counting and without volume limits other than those of article 7.5, and (iii) a right of use for one (1) included named seat, any additional seat being subscribed under the conditions of article 7.3.
Packs remain governed by articles 3.2, 4.1, 4.2, 5.1 to 5.4, 6.1 and 7.3. Their prices and term are not changed by this version; the number of included seats is set in article 7.3.
3.2/1 Point-based plans
The Connector may also be used without a pack, under the following plans:
| Plan | Content | Term | Price (excl. VAT) |
|---|---|---|---|
| Free allowance | 100 points per calendar month (UTC), at most 25 points per day (UTC), on the free scope of article 3.2/3 | permanent, renewed every month (article 3.5) | free |
| Credits | prepaid pack of 500, 2,000 or 10,000 points, usable on the full catalogue | 12 months from purchase (article 5.5) | article 5.1 |
| Solo | 1,500 points per month for one (1) user account, no carry-over from one month to the next, on the full catalogue | renewable monthly subscription (article 4) | EUR 89 per month |
| Firm | multi-user plan | coming | coming |
The Firm plan is not marketed at the date of this version. Its terms will be set by a later version of the Terms or by a signed purchase order; no order may relate to it until then.
The skills of the catalogue are included, at no extra charge, in the Solo plan. Point-based plans include no guaranteed volume beyond the points allocated or purchased.
3.2/2 Definition of a point
A point is the unit used to measure the use of the Connector in point-based plans. One point corresponds to one (1) tool call successfully executed by the Connector, whatever the tool called. Points are whole units.
No point is charged when the call fails, times out, is interrupted or returns an incomplete or undetermined answer, including when a source database referred to in article 8.3 is unavailable. No point is charged when a call is refused before execution, in particular because the daily cap has been reached, the available points are exhausted or the tool is not open to the account. A call executed normally that returns no result (a search without results) is a successful call and counts for one point.
OSA may, for a valid reason and after notification under article 14, weight the scale by tool family. The scale in force is published on the Pricing Page and can be consulted from the customer area. The cost of a call is that of the scale in force at the time of the call.
3.2/3 Tool scope and full catalogue
The free allowance gives access to the tools of the free scope published on the Pricing Page. At the date of this version, that scope covers eight areas: Belgian law, Belgian tax, Belgian case law, French law, French tax, Luxembourg tax, Luxembourg law and European Union law, excluding the tools that the Pricing Page designates as reserved to paid plans.
From the first paid and verified purchase of a credit pack or of the Solo plan, the account has access to the full catalogue, meaning all the tools made available to customers. This access is maintained for as long as the account exists, including after the purchased points are exhausted or have expired, subject to article 5.7. The points of the free allowance may then be used on the full catalogue.
A tool called outside the scope of the account is refused before execution, without charge. A tool whose access to the source is unavailable answers with an explanatory message, without charge.
The free scope and the content of the full catalogue in force are published on the Pricing Page, with their date. Any change follows articles 3.5 and 14.
3.3 Order
Orders are placed (i) online via the website, through an identification process, validation of the basket and payment; (ii) on a signed purchase order for tailor-made offers; or (iii) for the free allowance, by connecting the Connector to a user account whose e-mail address has been verified.
The Contract is formed: for skills packs and the Solo plan, upon receipt by the Customer of OSA's order confirmation and actual collection of the price (or, on a purchase order, on the date the deposit is received); for a credit pack, upon collection of its price; for the free allowance, upon the first connection of the Connector to an account verified and admitted under article 3.5.
3.4 Access to the Service
After confirmation and, where applicable, payment, OSA provides the Customer within 24 working hours with (i) access to the Connector, through a user account or a technical identifier sent by e-mail from hello@lawgi.tech, and (ii) for packs and plans that include them, the file of the subscribed skills together with the installation documentation. Skills may also be used without a file, through the Connector, according to the published documentation.
3.5 Monthly free allowance
Every user account whose e-mail address has been verified receives, without invitation, a free allowance of one hundred (100) points per calendar month, computed in Coordinated Universal Time (UTC). The allowance is renewed on the first day of each month at 00:00 UTC, with no carry-over of the unused balance. The first period runs from admission until the end of the current month; it carries one hundred (100) points, without proration. At most twenty-five (25) points per UTC day may be consumed from the free allowance. Only one admission is granted per account and per e-mail address.
The free allowance is neither a subscription nor a paid plan. It has no fixed term and gives rise to no invoicing. The Customer is not bound by it and may waive it at any time by revoking the Connector's access.
To prevent several allowances from being obtained, OSA keeps an irreversible fingerprint of the admitted e-mail address, under article 12 and the Privacy Policy.
OSA may refuse, suspend or close the free allowance of an account in the event of multiple accounts, automated use, non-professional use or breach of articles 7.1 to 7.5, without compensation. The Customer is informed by e-mail and may contest the measure at hello@lawgi.tech.
OSA may change the scope or volume of the free allowance, or end it, for one of the following reasons: abuse observed, changes in the sources or in their access cost, security of the Service, or a commercial decision applying to all accounts. The change is published on the Pricing Page and notified by e-mail at least thirty (30) days before it takes effect, except for an urgent security reason. It affects neither purchased points, nor access to the full catalogue acquired under article 3.2/3, nor the Customer's other vested rights.
3.6 Coexistence of skills packs and point-based plans
The same account cannot hold both a skills pack and a point-based plan. An account attached to a skills pack does not receive the free allowance and may purchase neither a credit pack nor the Solo plan. It keeps all the rights attached to its pack, without point counting.
Switching from a skills pack to a point-based plan, or the reverse, takes effect at the end of the current plan, on written request to hello@lawgi.tech, without loss of unexpired purchased points.
Article 4 — Term — Renewal
4.1 Initial term
Skills pack subscriptions are concluded, at the Customer's choice when ordering, for an initial term of one (1) year (annual formula) or one (1) month (monthly formula), from the effective date stated in the order confirmation. The Solo plan is a one (1) month subscription, from the date of its first payment.
4.2 Tacit renewal
At the end of the initial term, the Contract is tacitly renewed for a period of the same length (one (1) year for the annual formula, one (1) month for the monthly formula and for the Solo plan), unless terminated by either party by e-mail to hello@lawgi.tech, from the customer area where it allows it, or by registered letter to OSA's registered office:
- annual formula: at least thirty (30) calendar days before the annual renewal date;
- monthly formula and Solo plan: at any time before the monthly renewal date, termination taking effect at the end of the current month, without refund of the period started.
4.3 Information on term and termination
Before the Contract is concluded, OSA makes available to the Customer the information on the term of the subscription, its tacit renewal, the termination notice period and the termination procedure (articles 4.1 and 4.2 and the order page). The Customer can consult and store this information.
4.4 Plans without subscription
The free allowance and credit packs are not subscriptions and are not tacitly renewed. A credit pack remains usable until it expires (article 5.5) or until the Customer closes the account.
Article 5 — Price — Payment terms
5.1 Prices
Prices are stated in euros excluding VAT on the website. The applicable VAT is the rate in force on the invoicing date. For professional customers registered for VAT in another Member State of the European Union, the reverse-charge mechanism applies (articles 44 and 196 of Directive 2006/112/EC), provided the Customer supplies a valid VAT number.
At the date of this version, the prices of the point-based plans are as follows:
| Plan | Price excl. VAT |
|---|---|
| Pack of 500 points | EUR 39 |
| Pack of 2,000 points | EUR 119 |
| Pack of 10,000 points | EUR 449 |
| Solo (1,500 points per month) | EUR 89 per month |
| Free allowance (100 points per month) | EUR 0 |
The applicable price is the one published on the Pricing Page on the day of the order. A change in the price of the Solo plan applies to a subscription in progress only after notification under article 14, with the right to terminate before it takes effect. The price of skills packs is the one published on the website on the day of the order.
5.2 Invoicing
The invoice is issued on the effective date of the subscription and then at each renewal (annual or monthly, depending on the formula chosen). A credit pack is invoiced on the day of its purchase. The invoice is sent by e-mail in PDF format and remains available in the customer area. The price of the monthly formula of a pack is the one published on the website; it does not necessarily correspond to one twelfth of the annual price.
5.3 Payment
Payment is made (i) online, by the means offered when ordering (credit card, SEPA or Bancontact), through the payment provider Stripe; or (ii) by bank transfer, to the details stated on the invoice, within a maximum of thirty (30) calendar days from issue. Credit packs and the Solo plan are paid online, when ordering, only by the means offered on the order page.
5.4 Late payment
Any late payment automatically entails, without prior formal notice:
- late-payment interest at the rate provided for by article 5 of the Belgian Act of 2 August 2002 on combating late payment in commercial transactions, calculated day by day on the unpaid amount;
- a flat-rate recovery compensation of forty (40) euros (article 6 of the same Act);
- suspension of access to the Services after two (2) unsuccessful reminders, without prejudice to continued payment.
If non-payment persists for more than fifteen (15) calendar days after the second reminder, OSA may terminate the Contract for the Customer's sole fault.
5.5 Credit packs
A credit pack is acquired upon collection of its price and credited to the Customer's account. It is valid for twelve (12) months from the date of purchase; points not consumed at expiry are lost. OSA informs the Customer by e-mail at least thirty (30) days before a pack expires.
Points are consumed in the following order: first the free allowance of the month, then the monthly allowance of the Solo plan, then credit packs, starting with the pack closest to expiry. The cap of twenty-five (25) points per UTC day applies only to the free allowance: when it is reached, consumption continues on the Solo allowance and on the packs. The balance, the packs and their expiry dates can be consulted at any time from the customer area.
A credit pack, whether started or not, is not refundable, in whole or in part, and cannot be exchanged for another plan, subject to the following paragraph and to article 5.7.
By way of exception, where the Contract ends through termination attributable to OSA or through permanent discontinuation of the Service, the points of unexpired packs are refunded to the Customer in proportion to their purchase price.
5.6 Exhaustion of points
When the free allowance of the month, the Solo allowance and the credit packs are exhausted, the Connector refuses to execute point-counted tools until the next free allowance, on the first day of the following month at 00:00 UTC, or until a pack or the Solo plan is purchased. The Connector's message states the date of the next free allowance and the address of the account status page. Reaching the daily cap of article 3.5 gives rise to a separate refusal, without charge, until 00:00 UTC on the following day. These refusals are neither an unavailability of the Service within the meaning of article 6.1 nor a breach by OSA.
5.7 Refund, payment dispute and withdrawal
Where a payment relating to a credit pack or to the Solo plan is refunded, in whole or in part, or disputed with the payment provider, OSA does not automatically withdraw the points or access to the full catalogue of article 3.2/3. The following rules apply:
- while a dispute is open, use of the points corresponding to the disputed amount is suspended, without withdrawal; for the Solo plan, the allowance for the period concerned is suspended. If the dispute is closed in OSA's favour, the suspension is lifted and the previous situation restored;
- in the event of a partial refund, use of the points corresponding to the refunded amount, converted at the order price, is suspended; for the Solo plan, the corresponding share of the period's allowance is suspended;
- in the event of a full refund, unconsumed points are kept until OSA's decision under the next paragraph; for the Solo plan, the current period is served until its end and the subscription is not renewed;
- if the dispute is closed in the Customer's favour, the suspension is maintained until OSA's decision under the next paragraph; for the Solo plan, the subscription is not renewed.
After a refund or the closing of a dispute, OSA reviews the situation. By a decision notified to the Customer, it may neutralise the unconsumed points corresponding to the amount refunded or lost. It reserves all its other rights, including termination of the Contract for non-performance. Access to the full catalogue is maintained in all cases, subject to article 10.
The Customer, acting in a professional capacity, does not benefit from the right of withdrawal provided for consumers.
Article 6 — OSA's obligations
6.1 Provision and vested rights
OSA provides the Services according to the characteristics published on the website on the day of the order. These characteristics (number of skills, number of included seats, scope of sources, point volumes) are maintained for the whole term of the Contract and at each tacit renewal, unless changed by notification under article 14. In particular, Customers holding a skills pack keep, at each renewal, the number of seats and the scope of skills published on the day of their order.
OSA undertakes to deploy reasonable means to ensure the continuity and quality of the service, without guaranteeing uninterrupted availability.
6.2 Updates
OSA updates (i) the skills when their logic evolves and (ii) the underlying databases and tools on a continuous basis. No backward compatibility is guaranteed beyond two (2) successive versions.
6.3 Support
Support is provided by e-mail at the addresses published on the website, according to the service levels (SLA) described in the description of the subscribed pack or on the Pricing Page for point-based plans. Support does not include individual legal advice.
6.4 Best-efforts obligation
OSA's obligations under the Contract are best-efforts obligations. The Service is a tool to assist legal research and reasoning; it replaces neither the professional's mission nor the professional's liability.
6.5 European provider, hosting and flows outside the Union
OSA is a company governed by Belgian law. The Connector and usage data are hosted in the European Union. Transactional e-mails (order confirmation, identifiers, sign-in links, balance alerts) are routed by a sending provider established in the United States, under the conditions described in the Privacy Policy. When the Customer queries an official source located outside the European Union (in particular sources from the United Kingdom and Switzerland), the search terms entered are transmitted to that source. The Customer remains responsible for not entering data it does not wish to communicate to those third parties.
Article 7 — Customer's obligations
7.1 Professional use
The Customer undertakes to use the Services exclusively in the course of its professional activity, in compliance with (i) these Terms, (ii) the Skills Licence, (iii) the terms of use of the lawgi.tech platform and (iv) applicable laws and regulations, including its own professional conduct rules (in particular, for lawyers, the rules of the Code of Conduct and of the regulations of their bar).
Where the Customer uses the Services to advise a person on that person's legal or tax rights, obligations or liability, or to prepare a document that person will sign or file, the Customer ensures that a qualified person reviews the output, with the authority to change it, before it is delivered, and that the person advised is told that an artificial intelligence tool was used.
7.2 Confidentiality of access
The Customer is responsible for the confidentiality and use of the identifiers and accounts provided to it or created by it. Any use made from its identifiers or its account is deemed to be made by the Customer. In case of loss or compromise, the Customer informs OSA without delay.
7.3 Named seats
Each skills pack includes one (1) named seat. Any additional seat is subject to a "Seat+" subscription at the price published on the Pricing Page on the day of the order, for the remaining term of the pack it is attached to. Packs ordered before this version comes into force keep the number of seats published on the day of their order (article 6.1). The free allowance, credit packs and the Solo plan are attached to one (1) user account.
Seats and accounts must be assigned by name to identifiable persons belonging to the Customer's organisation. Sharing identifiers, accounts or keys with third parties outside the organisation is prohibited and leads to immediate suspension of the Contract.
7.4 Prohibitions
Without prejudice to the Skills Licence, the Customer shall not:
- resell, sub-license, rent or redistribute the skills or any element from the platform;
- carry out a substantial, automated or systematic extraction of OSA's databases;
- reverse-engineer the technical components made available;
- use the Services for unlawful purposes, contrary to public policy or morality, or to produce content infringing the rights of third parties.
7.5 Technical limits and fair use
Independently of points, the Connector applies caps on attempts and concurrent calls per account and per source, published on the website, to preserve the availability of the Service for all Customers and compliance with the terms of use of the official sources. The cap of twenty-five (25) points per UTC day of the free allowance is published on the Pricing Page. A call refused under these caps is not charged.
Skills packs, provided without point counting, are provided within the limits of fair use corresponding to the Customer's professional activity. In case of manifestly disproportionate use, in particular automated or massive use, OSA informs the Customer and may, failing agreement on a suitable plan within fifteen (15) working days, apply the published caps or terminate the Contract under article 10.
Article 8 — Liability
8.1 Limitation
Except for damage for which compensation cannot be limited under Belgian law, in particular in the event of wilful misconduct or gross fault of OSA or its agents, or harm to life or physical integrity, OSA's total liability, for all causes combined, is limited to the amount excluding VAT actually paid by the Customer for the twelve (12) months preceding the event giving rise to liability.
For an account that has made no payment, in particular under the free allowance alone, OSA's total liability is limited to a flat amount of one hundred (100) euros, subject to the same reservation.
This article cannot have the effect of releasing OSA, except in the event of force majeure, from all liability for non-performance of the essential undertakings that form the subject matter of the Contract.
8.2 Exclusions
OSA cannot be held liable for indirect damage (loss of turnover, loss of customers, damage to image, loss of data), nor for damage resulting from (i) non-compliant use of the Services, (ii) information produced by a third-party artificial intelligence system used by the Customer, or (iii) a decision taken by the Customer or by any person acting on its behalf on the basis of that information.
8.3 Unavailability of source databases
The official databases (Belgian Official Gazette, Fisconet Plus, Legifrance, EUR-Lex, Belgian DPA, CNIL, etc.) are maintained by third-party public authorities. OSA guarantees neither their availability nor the accuracy of the content published by those third parties and cannot be held liable for the consequences of unavailability, an interface change or a change of content at source. A call that fails for one of these causes is not charged (article 3.2/2).
8.4 Hallucination warning
The Services rely on artificial intelligence models (provided by the third-party publishers used by the Customer). These models may produce errors, omissions, inaccuracies or misleading statements called "hallucinations". The Customer undertakes to verify any critical information before any actual legal use and acknowledges that OSA does not guarantee the accuracy of the answers generated.
Article 9 — Force majeure
Neither party is liable for failure to perform its obligations where this results from force majeure within the meaning of article 5.226 of the Belgian Civil Code. The party concerned notifies the other within seven (7) days of its occurrence. If the force majeure lasts more than sixty (60) calendar days, either party may terminate the Contract by written notice, without damages.
Article 10 — Termination for breach
In the event of a serious breach by either party of its obligations, not remedied within fifteen (15) working days of a formal notice sent by e-mail and registered letter, the other party may terminate the Contract automatically, without prejudice to any damages. OSA may also terminate the Contract immediately in the event of (i) fraudulent use of the Services, (ii) persistent non-payment, (iii) breach of the Skills Licence, (iv) manifest insolvency of the Customer. For the free allowance, the measures of article 3.5 apply.
Article 11 — Intellectual property
All intellectual property rights in the skills, documentation, website, trademarks and distinctive signs, databases, algorithms and software tools of OSA and its licensors remain their exclusive property. The subscription or plan confers on the Customer a non-exclusive, personal, non-transferable and limited right of use described in the Skills Licence (https://lawgi.tech/legal/licence/). No rights are assigned outside that document.
Article 12 — Personal data
The processing of personal data carried out by OSA in the context of the contractual relationship is described in the Privacy Policy (https://lawgi.tech/legal/privacy/), which forms an integral part of the Contract. The data processed is limited to the information necessary for the contractual relationship, account management, invoicing and support.
To count points, OSA keeps a usage log limited, for each call, to the account identifier, the tool name, the number of points, the call status, its duration and its timestamp; this log records neither the arguments of the requests nor the content of the answers. For the free allowance, OSA also keeps an irreversible fingerprint of the admitted e-mail address, for abuse prevention purposes (article 3.5). The retention periods and legal bases of these processing operations are described in the Privacy Policy.
Personal data that the Customer may process using third-party artificial intelligence tools in the course of its activity is outside OSA's scope; OSA acts neither as controller nor as processor for that processing.
Article 13 — Confidentiality — References
Each party undertakes to treat as confidential the non-public information exchanged under the Contract. OSA may however mention the Customer's name and logo as a commercial reference, unless the Customer expressly objects in writing to hello@lawgi.tech.
Article 14 — Changes to the Terms
OSA reserves the right to change the Terms. Substantial changes are notified to the Customer by e-mail at least thirty (30) days before they come into force. If the Customer refuses the new Terms, it may terminate the Contract on the date they come into force. Failing termination within that period, the new Terms are deemed accepted.
This version 1.3 applies to Contracts concluded from its effective date. It applies to Contracts in progress from their first renewal following the notification provided for in the previous paragraph, without changing the characteristics, price or number of seats of the subscribed offer (article 6.1).
Changes to the scope or volume of the free allowance follow article 3.5.
Article 15 — Assignment
OSA may freely assign the Contract to any entity belonging to the same group or to which it would transfer the business line concerned, after informing the Customer in advance. The Customer may not assign the Contract, even partially, without OSA's prior written consent.
Article 16 — Severability — Waiver
The nullity or unenforceability of a clause does not affect the validity of the other clauses of the Contract. A party's failure to invoke a breach by the other party of any of its obligations shall not constitute a waiver of the right to invoke it later.
Article 17 — Governing law — Jurisdiction — Language
The Contract is governed by Belgian law. Any dispute relating to the formation, interpretation, performance or termination of the Contract falls within the exclusive jurisdiction of the courts of the judicial district of Brussels (French-speaking division), without prejudice to mandatory provisions on subject-matter jurisdiction or on out-of-court dispute resolution.
Before taking any action, the parties will endeavour to resolve their dispute amicably, where appropriate by mediation under the Belgian Mediation Rules.
The Terms are drawn up in French. Any translation is provided for information only; in case of discrepancy, the French version prevails.
